TERMS OF SERVICE
Subscription, creator ownership, AI output, and launch terms

These Terms of Service ("Terms") govern access to and use of https://funklabai.com and any related applications, interfaces, content, and services offered under the Funk Lab AI brand (collectively, the "Service"). The Service is owned and operated by Funk House Production LLC ("Funk House Production," "Company," "we," "us," or "our").
By creating an account, starting a free trial, uploading audio, purchasing a subscription, or otherwise accessing the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
1. Eligibility and Account Registration
You must be legally capable of entering into a binding agreement in your jurisdiction. You agree to provide accurate, current, and complete information when registering and to keep your account credentials secure. You are responsible for all activity that occurs under your account.
2. Description of the Service
Funk Lab AI is a cloud-based music and audio processing platform that allows users to upload audio and receive AI-assisted outputs, including analytics, stem separation, mixing, mastering, and related deliverables. Features may include free-tier access, subscriptions, one-time purchases, batch processing, downloadable outputs, and prompt-based sound-direction tools.
We may update, improve, suspend, or discontinue any feature of the Service at any time. Feature availability may depend on your plan, system capacity, and applicable technical limitations.
3. User Content and Your Rights
3.1 User Content
"User Content" means audio files, stems, prompts, reference notes, metadata, and any other material that you upload, submit, or otherwise provide through the Service.
3.2 You Keep Ownership of Your Uploads
You retain full ownership of your User Content and all intellectual property rights you already own in that content.
3.3 You Own 100% of Final Outputs
All processed outputs generated through the Service for your account—including mastered files, mixed files, stems, separated components, and similar deliverables—are your sole and exclusive property, subject only to any third-party rights already embedded in the material you submitted. Funk House Production LLC does not claim ownership, publishing rights, royalty interests, or other proprietary interests in your final outputs.
3.4 Limited License to Operate the Service
You grant us a limited, non-exclusive, revocable license to host, copy, cache, process, transmit, transform, and display your User Content solely as necessary to operate, secure, maintain, troubleshoot, and improve the Service experience for your account, including temporary storage, processing, quality-control checks, and delivery of outputs. This license does not transfer ownership to us.
3.5 No AI Training on Your Audio
We will not use your uploaded audio or your final outputs to train, fine-tune, or improve any AI model unless you separately and expressly opt in through a written agreement or a clearly labeled in-product consent flow.
3.6 Your Promises About Uploaded Content
You represent and warrant that:
- you own or control the rights necessary to upload and process the content you submit;
- your User Content and your use of the Service do not infringe, misappropriate, or violate the rights of any third party;
- any samples, beats, vocals, stems, references, sound recordings, and compositions included in your uploads are properly cleared for the uses you authorize through the Service; and
- your User Content does not violate applicable law.
4. Payments, Billing, Freemium Access, and Free Trials
4.1 Payment Processors
We may use third-party payment processors, including Stripe and/or PayPal, to process subscription fees, one-time purchases, taxes, and related charges. By providing payment information, you authorize us and our processors to charge your selected payment method for all applicable amounts.
4.2 Freemium Access
We may offer a free tier that permits limited use of the Service. Freemium access may be subject to limits, including upload caps, processing limits, output restrictions, storage limits, reduced priority, or restricted formats. We may modify or discontinue freemium access at any time.
4.3 Free Trial Offers
We may offer a time-limited free trial for eligible plans. If you start a free trial and provide a payment method, the trial will automatically convert into a paid subscription at the end of the trial period unless you cancel before the renewal time shown at sign-up.
4.4 Subscription Billing and Auto-Renewal
Paid plans renew automatically for the same subscription term unless canceled before the renewal date. You authorize recurring charges to your payment method until you cancel. Cancellation takes effect at the end of the current billing period unless otherwise stated.
4.5 Pricing, Taxes, and Changes
Prices, plan features, storage allocations, and usage thresholds may change from time to time. Unless otherwise required by law, changes apply prospectively. You are responsible for applicable taxes, duties, levies, or similar government charges associated with your purchases.
4.6 Failed Payments
If a charge is declined or otherwise fails, we may retry the payment method, suspend plan features, downgrade the account, or restrict access until payment is resolved.
4.7 Refunds
Except where required by law or expressly stated by us in writing, payments are non-refundable. If we determine in our sole discretion that a duplicate charge or billing error occurred, we may issue an appropriate credit or refund.
4.8 Chargebacks and Payment Disputes
Before initiating a chargeback or dispute with your payment provider, you agree to contact us first so we can attempt to resolve the issue. We may suspend or terminate accounts associated with abusive chargeback activity and may recover fees or losses caused by improper disputes where permitted by law.
4.9 Abuse of Trials or Freemium Terms
We may suspend or terminate any account, trial, or promotional access that we reasonably believe is being used to evade plan limits, create duplicate redemption attempts, or otherwise circumvent our billing and access rules.
5. Acceptable Use Rules
You may not, and may not permit any third party to:
- use the Service to upload, store, transmit, or process unlawful, infringing, harmful, or deceptive content;
- use the Service to distribute malware, disable security features, probe or scan for vulnerabilities, or interfere with platform stability;
- reverse engineer, decompile, copy, scrape, mirror, or build a competing service using any part of the Service except to the extent that applicable law expressly permits it;
- impersonate another person or misrepresent your affiliation with any person or entity;
- use automated means to access the Service in violation of rate limits, API rules, or other technical controls; or
- use the Service to create or distribute material in violation of applicable intellectual property, privacy, publicity, or other rights.
6. AI Output Disclaimer
6.1 Automated Processing
The Service uses automated and AI-assisted systems for analysis, stem separation, mixing, mastering, and related processing. Outputs are generated algorithmically and may vary based on source material, system settings, prompts, and model behavior.
6.2 No Guarantee of Creative Outcome
Although the Service is designed to help users obtain professional-quality results, we do not guarantee any specific artistic, technical, commercial, or subjective outcome. Audio quality and final aesthetic results will depend on many variables, including the condition and characteristics of the material you upload.
6.3 Review Before Release
You are solely responsible for reviewing, approving, and determining the suitability of any output before distribution, public release, licensing, publishing, or other downstream use.
6.4 No Liability for Creative or Commercial Dissatisfaction
To the fullest extent permitted by law, we are not responsible for dissatisfaction with creative decisions, tonal balance, loudness choices, stylistic interpretation, audience reception, platform placement, streaming performance, label acceptance, or other business or artistic outcomes arising from your use of the Service.
7. Music Licensing and Usage Rights
7.1 Commercial Use
Subject to these Terms and any third-party rights embedded in your source materials, you may commercially exploit the outputs generated for your account, including release, distribution, synchronization, streaming, sale, and licensing.
7.2 No Platform Royalty Claims
Funk House Production LLC does not act as your publisher, administrator, distributor, collection society, or licensing agent by default and does not collect royalties from your outputs unless you later enter into a separate written agreement for those services.
7.3 Third-Party Rights Remain Your Responsibility
We do not clear samples or verify chain of title for content you upload. If your source files contain uncleared or third-party material, your rights in the final outputs are limited by those third-party rights, and you remain solely responsible for obtaining all necessary permissions.
7.4 Future Marketplace and Add-On Services
If the Service later offers marketplace, licensing, collaboration, sync, or distribution features, additional terms may apply to those features and will supplement these Terms.
8. Copyright and DMCA Policy
If you believe content accessible through the Service infringes your copyright, send a notice to info@funkhouseproductions.com with:
- identification of the copyrighted work claimed to have been infringed;
- identification of the allegedly infringing material and enough information for us to locate it;
- your contact information;
- a statement of good-faith belief that the disputed use is unauthorized; and
- a statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner.
If we remove material in response to a copyright notice, the affected user may send a valid counter-notification as permitted by law. We may terminate repeat infringers in appropriate circumstances.
9. Privacy and Data Handling
Our collection, use, storage, and disclosure of personal information are described in the Funk Lab AI Privacy Policy. By using the Service, you acknowledge that you have reviewed the Privacy Policy.
10. Service Availability, Maintenance, and Storage
We may perform scheduled or emergency maintenance, impose storage limits, restrict file retention periods, and remove files according to your plan terms, our retention policies, security procedures, or legal obligations. The Service is not a backup or archival service, and you are responsible for keeping your own copies of all source files and outputs.
11. Intellectual Property in the Platform
The Service, including the software, interface design, workflow architecture, branding, logos, text, graphics, and all related technology (excluding your User Content and outputs), is owned by Funk House Production LLC and its licensors and is protected by law. These Terms grant you only a limited right to use the Service in accordance with your plan and these Terms.
12. Suspension and Termination
We may suspend or terminate access to the Service, in whole or in part, if we reasonably believe you have violated these Terms, created a security risk, failed to pay fees when due, or used the Service in a way that could create liability for us or others. You may stop using the Service at any time and may cancel any subscription in your account settings, subject to these Terms.
13. Disclaimer of Warranties
To the fullest extent permitted by law, the Service is provided "as is" and "as available." We disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, or that the Service will be uninterrupted or error-free.
14. Limitation of Liability
To the fullest extent permitted by law, Funk House Production LLC and its owners, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities, even if advised of the possibility of such damages.
To the fullest extent permitted by law, our total aggregate liability for claims arising out of or relating to the Service or these Terms will not exceed the amounts paid by you to us for the Service in the twelve (12) months preceding the event giving rise to the claim.
15. Indemnification
You agree to defend, indemnify, and hold harmless Funk House Production LLC, its affiliates, and their respective owners, directors, officers, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your User Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.
16. Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Unless otherwise required by law, any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in California, and each party consents to personal jurisdiction and venue in those courts.
17. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will post the updated version with a revised effective date and may provide additional notice where appropriate. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of the revised Terms.
